Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Tesorus platform, website, and related services. By using Tesorus, you agree to these Terms. If you don’t agree—no hard feelings—but you shouldn’t use the platform.

Section 1

Overview

Tesorus provides data-driven marketing tools, including audience intelligence, segmentation, and activation capabilities. Your use of Tesorus is subject to:

  • These Terms
  • Any applicable Order Forms, Agreements, or Statements of Work
  • Our Privacy Policy

Section 2

Eligibility & Account Use

You must:

  • Be at least 18 years old
  • Use the platform for legitimate business purposes
  • Provide accurate and complete account information

You are responsible for:

  • Maintaining account security
  • All activity under your account
  • Ensuring your team complies with these Terms

Section 3

Services & Platform Access

Tesorus grants you a limited, non-exclusive, non-transferable license to use the platform during your active subscription.

We reserve the right to:

  • Modify or improve the platform
  • Add or remove features
  • Limit or suspend access if necessary

We don’t do this lightly—but we will protect the platform.

Section 4

Pricing & Payment

Minimum Commitment

Plans are subject to a minimum monthly spend as outlined in your agreement.

Billing Terms

  • Payment is due prior to service delivery unless otherwise agreed
  • Usage-based pricing may apply depending on volume and market conditions
  • Late or failed payments may result in service suspension

No payment = no data. Simple math.

Section 5

Acceptable Use

You agree not to use Tesorus to:

  • Violate any laws or regulations
  • Send unlawful, deceptive, or unsolicited communications
  • Misuse or abuse personal data
  • Attempt to reverse engineer, scrape, or disrupt the platform
  • Resell or redistribute data without authorization

We built this to be powerful—not reckless.

Data Usage & Compliance

Our Role

Tesorus provides tools and data infrastructure.

Your Role

You are responsible for how you use it:

  • Complying with applicable laws (CAN-SPAM, GDPR, CCPA, etc.)
  • Honoring opt-outs and unsubscribe requests
  • Managing suppression lists
  • Ensuring lawful outreach practices

If you misuse data, that’s on you—not us.

Section 7

Intellectual Property

What’s Ours

All platform technology, design, and proprietary systems belong to Tesorus. You may not:

  • Copy, modify, or distribute our technology
  • Use our platform to build a competing product
  • Extract or replicate our data models or methodologies

What’s Yours

You own your data. We own the engine.

Section 8

Data Availability & Accuracy

We aim to provide high-quality, actionable data—but:

  • We do not guarantee completeness or accuracy
  • Data reflects probabilistic models and inferred signals
  • Market conditions and behavior change constantly

Use it as a strategic advantage—not a guaranteed outcome.

Section 9

Confidentiality

Both parties agree to protect confidential information shared during the relationship, including:

  • Business strategies
  • Data models
  • Technical infrastructure
  • Any non-public information

If it’s not meant to be public—keep it that way.

Section 10

Term & Termination

Term

These Terms apply for the duration of your active use or subscription.

Termination

We may suspend or terminate access if:

  • Terms are violated
  • Payments are not made
  • Platform misuse is detected

You may cancel according to your agreement terms.

Sections 11–14

Liability, Indemnification & Governance

Limitation of Liability

To the fullest extent permitted by law, Tesorus is not liable for indirect or consequential damages, lost revenue or business opportunities, or outcomes resulting from how you use the platform.

We provide the tools—you make the decisions.

Indemnification

You agree to indemnify and hold Tesorus harmless from any claims arising from your use of the platform, your violation of laws or regulations, or your misuse of data or services.

Changes to Terms

We may update these Terms from time to time. When we do, we’ll update the effective date. Continued use constitutes acceptance of updates.

Governing Law

These Terms are governed by the laws of the United States and applicable state jurisdictions.
